General Terms and Conditions for Creturner CCS Services

  1. Creturner International AB is a Swedish incorporated company governed by the laws of The Kingdom of Sweden with corporate registration number 559200-1415
    1.1. We have developed an operation to capture CO2-equvivalents in the form of processing biomass into bio charcoal and build and operate equipment applying this knowhow. We combine this with permanent storage of bio charcoal (for example final deposit into the ground), performed by us and third parties contracted by Creturner, to sequester the bio charcoal from the ecosystem. We refer to the overall process as Creturner Carbon Removal Storage (“Creturner CCS”).
    1.2. This overall process is used to provide Creturner CCS services (“Creturner CCS Services”). The applied processes and methods are adapted to be used on a pilot sized mid/pre-industrial level and may or may not be based on proven technology. Creturner CCS is advancing the scale and volume of production level to reach an industrial scale to contribute to reverse climate change. News and updates will be published on our website and may also be emailed to you.
  2. Ordering Creturner CCS Services
    2.1. Creturner CCS Services can be ordered on our website. Any agreement as regards Creturner CCS Services (“Agreement”) shall be subject to the successful payment of the order confirmation sent by Creturner (“Order Confirmation”) and these terms and conditions (“Terms and Conditions”).
    2.2. Conflicting terms and conditions shall only be applicable to the extent we have agreed to them in writing. The Terms and Conditions valid at the time of the order apply.
  3. Scope of Creturner CCS Services
    3.1. Creturner will remove the confirmed net quantity of CO2 (“ARQ – Agreed Removal Quantity”) from the ecosystem by performing Creturner CCS. We will convert biomass into bio charcoal with one or several units operated by or on behalf of us (“Creturner Site”), provide or have provided the captured CO2-eqvivalents of bio charcoal to one or several third parties and contract with such third parties to perform subsequent permanent storage.
    3.2. The ARQ is determined by a data logging weight recording instrument in the Creturner Plant. This data logged quantity is the produced result which is being netted from the total volume of ARQ’s committed by Creturner to produced. The ARQ is represented by an individual digital certificate which is sold to you.
    3.3. The Creturner CCS Services towards you are completed once the certificate of the Agreed Removal Quantity (“ARQ”) has been issued and been deposited for download in your account. The certificate commits Creturner to fixate the equivalent amount of CO2 in the form bio charcoal from the ecosystem by means of Creturner CCS.
  4. Pricing of the ARQ
    4.1. The price of the ARQ quoted in the Order Confirmation includes the subsequent
    permanent storage of the bio charcoal.
    4.2. All prices are quoted as net prices and do not include value added tax, which, if applicable, is charged in addition in the amount specified by applicable law. Additional charges or taxes are to be borne by you.
  5. Creturner CCS Services Certificate
    5.1. We will log the ARQ removed from the ecosystem for you in your account to record the ARQ purchase attributable to you (“Creturner CCS Record”). The certificate or token issued will be the blockchain based proof of the transaction. The token is transferable and is a digital certificate of value, you are responsible to safekeeping this digital asset if it is removed from our system. Any lost token is not possible to be replaced and should be viewed as an irreplaceable asset.
    5.2. Creturner will complete performance of the Creturner CCS Services within five (5) years or earlier following the Payment Completion date.
    5.3. Any transfer of the ARQ is recorded using the blockchain based token.
    5.4. If you have purchased a single or a recurring subscription, your proof of purchases is recorded in your account, and which will remain there in case of your termination of the Agreement. Here you will find a document which confirms the ARQ attributable to you. Single and Recurring subscription purchases are final and not redeemable, it is your responsibility to keep track of ongoing subscriptions.
  6. Payment and Assignment
    6.1. When ordering through our website, the payment of the amount charged for the
    Creturner CCS Services (“Creturner CCS Service Fee”), is typically credit card based.
    6.2. In case of invoicing, payments are due within 30 (thirty) days to an account indicated by us. Charges related to invoice amounts are to be borne by you.
    6.3. We are entitled to assign this Agreement, in whole or in part, to one or several affiliates of Creturner.
  7. Liability
    7.1. The liability of either party is excluded for incidental, special, indirect, or consequential losses or damages (including loss of use, loss of profit and third-party claims) arising out of or in connection with Creturner CCS Services.
    7.2. To the extent permitted by law, the liability of either party under or in connection with Creturner CCS Services, whether arising in tort, for breach of contract or otherwise, shall be limited to the Creturner CCS ARQ Fee.
  8. Intellectual Property
    8.1. You are entitled to use any documentation provided as part of the Creturner CCS Services to assert the ARQ attributable to you. You can publicly, without our consent, showcase that you are using Creturner services’, but it must be directly connected and proportional to actual purchased ARQ volumes. You may not use our Creturner brand to promote anything if there is no purchased ARQ.
    8.2. No rights other then set out in Section 8.1 are granted. No license, rights of use and/or ownership of any kind of Creturner’ intellectual property are granted and all knowhow, patents, trademarks, tradenames, designs, copyrights, manufacturing or business secrets and all other intellectual property which are/is owned by Creturner shall remain the exclusive and unrestricted property of Creturner.
  9. Privacy Policy
    This Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your information when You use the Service and tells You about Your privacy rights and how the law protects You. We use Your Personal data to provide and improve the Service. By using the Service, You agree to the collection and use of information in accordance with this Privacy Policy.

The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of this Privacy Policy:
Account means a unique account created for You to access our Service or parts of our Service.

    10.1. The invalidity or unenforceability of any provisions of this Agreement shall not affect the validity or enforceability of any other provision. Any invalid or unenforceable provision shall be replaced by a valid and enforceable provision reflecting the economic intent of the parties.
    10.2. This Agreement shall be governed by Swedish Law. The United Nations Convention on the International Sale of Goods (CISG) shall not apply. If a dispute cannot be resolved, the ordinary courts of Stockholm, Sweden, shall have exclusive jurisdiction.
